Обе фразы используются примерно одинаково по частоте в разговорной речи, и они употребляются обычно перед именем существительным. Разницы по смыслу между ними нет никакой - это всегда будет означать большое количество чего-либо. Используются оба варианта как с исчисляемыми, так и не исчисляемыми существительными. Главное, не забывать ставить "a" перед "lot of". 
Из прочих применений - "a lot" (без of) может стоять после глаголов. Например, I read a lot. Или когда ответ короткий: Did you enjoy the party? - Oh, yes, a lot!
